What is the Corporate Agreement in Vymex?
The Corporate Agreement is a set of rules for how co-owners interact, recorded in vHold. It is not a legal document, but the system applies its rules to votings and co-owners' rights.
The agreement is optional and disabled by default. While it is disabled, the standard Vymex rules apply (see "How are strategic decisions made?").
It can be enabled in "Corporate Settings" → "Corporate Agreement". With one owner — immediately; with several — by voting (a fundamental decision).
What can be configured in it:
- thresholds for each class of decision and the quorum;
- co-owners' rights depending on their share (initiating proposals, access to reporting, etc.);
- policies — right of first refusal, tag-along, lock-up and others (for now they are only recorded and displayed; the system does not enforce them);
- the text of the agreement; the full history of changes is stored.
