How are strategic decisions made?
Co-owners make decisions by voting in vHold. If there is only one owner, a decision applies immediately, without voting.
Voting uses a two-dimensional majority: "for" must reach both the required percentage of capital (weight = share) and the required percentage of participants. The thresholds depend on the class of decision:
- ordinary (>50% of capital and >50% of participants): renaming the manager's role, share dilution;
- important (≥66% and ≥60%): changing the company name, the manager's salary;
- fundamental (≥75% and ≥66%): changing the manager, suspending, resuming and deleting the company, enabling or changing the Corporate Agreement.
The quorum is 50% of capital; those who have not voted by the deadline are not counted among participants. The initiator automatically votes "for". A voting ends early as soon as the outcome is clear.
These are the standard Vymex rules. If the co-owners enable the Corporate Agreement, the thresholds can be changed in it.
