Why does a company have two basic roles — owner and employee?
Because they follow different logics of interaction. The roles of owner and employee exist in a company from the moment it is created.
- Owners (vHold) make decisions collectively. A decision passes if votes "for" reach both the required share of capital and the required share of participants; the threshold depends on how important the decision is. A sole owner makes decisions immediately.
- Employees (vHub) work in a hierarchy of roles that itself determines reporting lines, visibility and areas of responsibility.
The link between them is the CEO role: the owners choose the company's manager, and the manager builds the role structure.
This split separates ownership from operational work. One person can be both an owner and an employee at the same time.
